Acceptance of these terms

These Terms of Use are a binding agreement between you and MentatNOC, Inc. ("MentatNOC," "we," "us"). By accessing or using mentatnoc.com or any page or environment linked from it (together, the "site"), you accept these terms in full. If you do not agree to them, do not use the site. If you use the site on behalf of a company, you represent that you have authority to bind that company, and "you" includes it.

Eligibility and intended audience

The site is intended for business users evaluating MentatNOC for commercial purposes. You must be at least 18 years old to use it.

The site and its content

The site and its content are provided for general information about MentatNOC and its platform. Content may be changed, corrected, or removed at any time without notice. Nothing on the site is a binding offer, a commitment to deliver any feature or capability, or advice of any kind, and you may not rely on it as such. Product capabilities, availability, and roadmap are established only in a signed agreement.

Demo environments and sample data

Any demo environment, screenshot, or dashboard shown on or linked from the site contains fictitious data for illustration only. It does not depict any real customer, fleet, or device, and no conclusion about real-world performance may be drawn from it.

Intellectual property

The site and everything on it, including text, design, graphics, screenshots, logos, and the MENTATNOC name and mark, are owned by MentatNOC, Inc. and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view the site for your internal business evaluation of MentatNOC, and no other license of any kind. You may not copy, reproduce, republish, frame, mirror, scrape, harvest, data-mine, or create derivative works from the site or its content without our prior written permission. Indexing by public search engines and by automated agents we permit through the site's robots.txt is allowed.

Feedback

If you send us ideas, suggestions, or feedback about the site or our products, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without compensation, attribution, or obligation to you.

Acceptable use

You agree not to: interfere with or disrupt the site or its infrastructure; probe, scan, or test the site or any MentatNOC system for vulnerabilities without our prior written authorization; access the site by automated means except as expressly permitted above; misrepresent your identity or affiliation; or submit false, misleading, or unlawful information through any form. We may investigate violations and cooperate with law enforcement.

Third-party sites and services

The site links to third-party sites and services we do not control. We are not responsible for their content, availability, or practices, and linking does not imply endorsement.

Disclaimer of warranties

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. YOUR USE OF THE SITE IS AT YOUR SOLE RISK.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MENTATNOC, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).

Indemnification

You agree to defend, indemnify, and hold harmless MentatNOC, Inc. and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your use of the site, your violation of these terms, or your violation of any law or third-party right.

Governing law and dispute resolution

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. Any dispute arising from or relating to these terms or the site that cannot be resolved informally will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Delaware, before a single arbitrator, and conducted on an individual basis only. YOU WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR OTHER REPRESENTATIVE PROCEEDING. Either party may seek injunctive relief in a court of competent jurisdiction for actual or threatened infringement of intellectual property.

Time limit on claims

Any claim arising from or relating to the site must be brought within one (1) year after the claim arises, or it is permanently barred.

Termination

We may suspend, restrict, or terminate your access to the site at any time, for any reason, without notice or liability. The sections of these terms that by their nature should survive termination do survive, including intellectual property, feedback, disclaimers, limitation of liability, indemnification, and dispute resolution.

Changes to these terms

We may revise these terms at any time by posting the revised version on this page. The date at the top reflects the most recent revision, and revisions are effective upon posting. Your continued use of the site after posting constitutes acceptance.

General

If any provision of these terms is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these terms; we may assign them without restriction. These terms are the entire agreement between you and MentatNOC regarding the site.
